These Terms were last updated on June 2026. Techsnap reserves the right to amend these Terms at any time, and your continued use of the Platform following the publication of any amendment shall constitute your unconditional acceptance of the revised Terms.

We will make reasonable commercial efforts to notify users of significant changes through the Platform interface or by email. Your continued use of the Platform following any such change constitutes your acceptance of the modified Services.
4. Eligibility, Age Restrictions, and Account Registration
To be eligible to create an account on the Platform and to access the Services, you must: (a) be at least thirteen (13) years of age; (b) if you are below the age of eighteen (18) years (a "Minor" under Indian law), possess the consent and supervision of your parent or legal guardian or the authorisation of your educational institution; (c) have the legal capacity to enter into a binding agreement under the laws of your jurisdiction; (d) not have been previously suspended or banned from the Platform for violation of these Terms or applicable law; and (e) not be a person to whom the provision of services is prohibited by applicable Indian law or the laws of your country of residence.
By creating an account, you represent and warrant that all registration information you provide is accurate, truthful, complete, and current, and you undertake to promptly update your registration information if any of it changes. You acknowledge that Techsnap relies on the accuracy of the information you provide and that providing false or misleading information may result in immediate termination of your account. You agree to: (a) maintain the security and confidentiality of your account credentials, including your password, and not share them with any third party; (b) immediately notify Techsnap at [email protected] if you discover or suspect any unauthorised access to or use of your account; (c) be solely responsible for all activities conducted through your account, whether or not authorised by you; and (d) log out of your account at the end of each session on shared devices.
Techsnap reserves the right to refuse registration, decline to create an account, or decline to provide Services to any individual or entity at our sole and absolute discretion, including where we believe the applicant does not meet the eligibility requirements or where provision of the Services may expose Techsnap or its users to legal, reputational, or operational risk.
5. Sign In with Apple and Sign In with Google
In addition to standard email address and password-based authentication, the Platform supports authentication through Sign in with Apple and Sign in with Google, pursuant to the applicable guidelines and technical requirements of Apple Inc. and Google LLC respectively. Where you choose to authenticate using either of these third-party authentication providers, the following terms apply.
Sign in with Apple: Techsnap offers Sign in with Apple as an authentication option in compliance with Apple's App Store Review Guidelines, which require that any iOS application offering third-party social login must also offer Sign in with Apple as an equivalent option. When you authenticate using Sign in with Apple, Apple's authentication framework provides Techsnap with the following information only: (a) your display name (which you may edit or omit before sharing); and (b) your email address, which may be either your real Apple ID email or a private relay email address generated by Apple's Hide My Email feature, at your election. Techsnap uses this information solely for the creation and management of your Platform account and for the delivery of account-related communications. Where you share a private relay email, Techsnap will use that relay address for all communications and will not attempt to obtain your underlying real email address by any means. Techsnap does not receive, process, or store your Apple ID password or any biometric data associated with Face ID or Touch ID used during Apple's authentication process, as such data is processed entirely by Apple's operating system. To revoke Techsnap's access to your Apple ID at any time, navigate to Apple ID Settings → Password and Security → Apps Using Apple ID → Techsnap → Stop Using Apple ID. Revoking Apple ID access will prevent future login through this method but will not delete your Techsnap account, which must be separately deleted pursuant to the process described in our Privacy Policy.
Sign in with Google: When you authenticate using Sign in with Google, Google's OAuth 2.0 framework provides Techsnap with your display name, your Google account email address, and, where applicable, your Google profile photograph, subject to your Google account privacy settings. Techsnap does not receive or store your Google account password. To revoke Techsnap's access to your Google account, navigate to your Google Account → Security → Third-party apps with account access → Techsnap → Remove Access. Revoking this access will not delete your Techsnap account.
You acknowledge that the use of third-party authentication services is subject to the respective terms of service and privacy policies of Apple Inc. and Google LLC, over which Techsnap exercises no control, and that Techsnap is not responsible for any changes to, unavailability of, or security incidents affecting such third-party authentication services.
6. Licence to Use the Platform
Subject to your compliance with all provisions of these Terms and payment of any applicable subscription fees, Techsnap hereby grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform and the Services for your personal, non-commercial educational and professional development purposes only, during the term of your account in good standing. - using the Platform to send unsolicited commercial communications, spam, chain letters, bulk messages, or any other form of unsolicited mass communication to other users or third parties
- using the Platform for any illegal purpose, including but not limited to facilitating money laundering, financing of illegal activities, tax evasion, data theft, intellectual property infringement, identity theft, or any other activity that constitutes a criminal offence under applicable Indian law
- violating or circumventing any applicable law or regulation of India or of the jurisdiction from which you access the Platform, including but not limited to the Information Technology Act, 2000, the Indian Penal Code, 1860, the Indian Copyright Act, 1957, and the DPDP Act, 2023
Violation of any provision of this Acceptable Use Policy shall constitute a material breach of this Agreement and may result in immediate suspension or permanent termination of your account without prior notice, in addition to any other remedies available to Techsnap under applicable law, including seeking injunctive relief, damages, and reporting the violation to the appropriate law enforcement or regulatory authority.
8. User-Generated Content and Intellectual Property in User Submissions
The Platform includes features that enable Users to create, upload, publish, and share User Content, including without limitation: blog posts and educational articles; community discussion posts and comments; student portfolios and project showcases; code submissions and solutions; chat messages and direct messages; hackathon and competition entries; feedback and reviews; and profile information and skill descriptions. You understand and acknowledge that by submitting User Content to the Platform, you are making such content available to other users and, in some cases, to the general public or to your affiliated institution.
Ownership of User Content: Techsnap does not claim ownership of your User Content. Subject to the licence granted below, you retain all ownership rights and Intellectual Property Rights in and to the User Content you create and submit. However, by submitting User Content to the Platform, you represent and warrant that: (a) you are the sole and original creator of such content, or you have obtained all necessary rights, licences, consents, and permissions from the rights holders to submit the content and to grant the licence described below; (b) the submission and display of the content on the Platform does not and will not infringe the Intellectual Property Rights, privacy rights, personality rights, moral rights, or any other legal rights of any third party; (c) the content does not violate any applicable law or regulation; and (d) the content complies with these Terms and Techsnap's Community Standards.
Licence Granted to Techsnap: by submitting User Content to the Platform, you grant Techsnap a worldwide, non-exclusive, royalty-free, perpetual (for the duration of your account and a reasonable archival period thereafter), sublicensable, and transferable licence to use, host, store, cache, reproduce, display, adapt (solely for technical and formatting purposes), distribute, and make available your User Content within the Platform, solely for the purposes of: (a) operating and providing the Services; (b) displaying your content to other users as intended by the Platform's features; (c) complying with applicable legal obligations; and (d) improving the Platform's features and services through internal analysis. Upon deletion of your account or removal of specific User Content, this licence will terminate with respect to such deleted content, subject to any applicable retention obligations.
Moral Rights: to the extent permitted by applicable law, you waive any moral rights you may have in your User Content in relation to Techsnap's exercise of the licence granted above, provided that Techsnap will use reasonable efforts to attribute User Content to its creator where technically feasible and contextually appropriate.
9. Community Standards and Prohibited Content
Techsnap maintains a professional, respectful, and inclusive community environment. The Platform is an educational space, and all users are expected to interact with each other and with the Platform's content in a manner consistent with the values of academic integrity, professional courtesy, and mutual respect. The following categories of content are strictly prohibited on the Platform and will be removed upon detection or upon a verified report:
- content that constitutes harassment, bullying, intimidation, threats, or targeted abuse of any individual or group, whether on the basis of religion, race, caste, ethnicity, gender, sexual orientation, national origin, disability, age, or any other characteristic protected under applicable Indian law, including the Scheduled Castes and Scheduled Tribes (Prevention of Atrocities) Act, 1989
- sexually explicit, obscene, pornographic, or indecent content of any nature, including content involving minors
- content that promotes, glorifies, incites, or facilitates violence, self-harm, suicide, eating disorders, or any other conduct that poses a danger to the physical or mental health of any individual
- content that promotes, glorifies, or facilitates any illegal activity under Indian law, including drug use, gambling, illegal weapons, human trafficking, or terrorism
- content that constitutes defamation, libel, or slander of any individual, institution, or organisation under Indian law
- content that discloses another person's private, confidential, or personally identifiable information without their express consent (commonly known as 'doxxing')
- false, misleading, deceptive, or fraudulent information, including fabricated credentials, forged certificates, or false claims about employment or educational history, intended to deceive other users, institutions, or employers
- content that infringes the Intellectual Property Rights of any third party, including unauthorised reproduction, distribution, or adaptation of copyrighted text, images, code, software, or other works without the rights holder's permission
- spam, repetitive posting, flooding, or any other conduct that disrupts the normal functioning of community features or degrades the experience of other users
- content promoting or soliciting the purchase of illegal goods or services, unauthorised access tools, pirated software, academic fraud services (such as contract cheating or assignment writing), or any other prohibited commercial activity
Techsnap reserves the right to enforce these Community Standards at its sole and absolute discretion, including by removing content, issuing warnings, temporarily suspending accounts, or permanently terminating accounts that violate these standards. Repeated or egregious violations may result in permanent banishment from the Platform and, where required by applicable law, reporting to the relevant law enforcement or regulatory authorities.
10. Content Moderation, Reporting, and Enforcement
Techsnap employs a combination of automated content detection tools and human moderation review processes to monitor User Content on the Platform for compliance with these Terms and Community Standards. Users play a vital role in this process and are encouraged to use the Platform's built-in reporting features to flag content or conduct that they believe violates these Terms.
Users may submit reports in respect of any of the following: profiles containing false, impersonating, or misleading information; blog posts, articles, or community content that violates Community Standards or applicable law; chat messages or direct messages that constitute harassment, spam, or abusive communication; project submissions or portfolio content that infringes third-party Intellectual Property Rights; assessment or competition conduct that appears fraudulent, plagiarised, or dishonest; and any other content or conduct that the reporting user reasonably believes violates these Terms or applicable law.
Upon receipt of a report, Techsnap's moderation team will review the reported content in accordance with these Terms and applicable law. Pending review, reported content may be temporarily restricted or made invisible to other users. Techsnap's moderation decisions — including decisions to remove content, issue warnings, suspend accounts, or take no action — are made at our sole discretion and are final, subject to the right of the affected user to submit an appeal to [email protected]. We aim to review all reports within a reasonable timeframe and to communicate our decision to the reporting user and, where applicable, to the user whose content was reported. Techsnap is not liable for any harm arising from content that exists on the Platform before it is reported or before a report is reviewed.
11. Block, Mute, and Restrict Features
The Platform provides users with tools to manage their interactions with other users, including the ability to block other users from contacting or interacting with them through the Platform's messaging and community features. The following provisions govern the use of these features.
Blocking: when you block another user, that user will be prevented from sending you messages or chat communications through the Platform and may be restricted from viewing your public profile, portfolio, or community content, depending on your privacy settings. Blocking is a private action; the user you have blocked will not receive a notification that they have been blocked, though they may become aware of the block through the Platform's functional behaviour. You may block any number of other users through your account settings, and you may unblock any user at any time. Blocking a user does not delete any existing messages or interactions between you and that user; it only prevents future interactions. Blocking does not constitute a formal report of a policy violation. If you believe a user has violated these Terms or Community Standards, you should use the Platform's dedicated report feature in addition to or independently of blocking.
Techsnap records blocks for the purpose of enforcing the block between the relevant users and for aggregate platform safety analytics. Block data is not shared with the blocked user or with third parties, except where required by applicable law.
12. Artificial Intelligence Features, Limitations, and Disclaimers
Techsnap extensively integrates artificial intelligence, machine learning, and natural language processing technologies into the Platform to deliver personalised, adaptive, and intelligent educational experiences. The AI Features currently available on the Platform include, without limitation: personalised learning roadmap generation; AI-powered doubt solving and tutoring; mock interview simulation with automated feedback; resume and portfolio analysis; skill gap identification and course recommendation; automated assessment scoring assistance; and AI-driven placement opportunity matching.
Nature and Limitations of AI-Generated Outputs: you understand and expressly acknowledge that all outputs, recommendations, analyses, feedback, suggestions, explanations, and content generated by Techsnap's AI Features (collectively, "AI Outputs") are produced by algorithmic systems trained on data and are inherently subject to the following limitations: (a) AI Outputs may contain factual errors, inaccuracies, outdated information, logical inconsistencies, or hallucinations, and should not be accepted as authoritative without independent verification; (b) AI Outputs reflect the patterns and data on which the AI models were trained and may contain biases or reflect perspectives that are not universally applicable; (c) the quality and accuracy of AI Outputs depends significantly on the quality, completeness, and accuracy of the information you provide as input; and (d) AI models and systems are continuously evolving, and the outputs generated by the Platform's AI Features at any given time represent the state of the relevant model at that time and may differ from outputs generated at a later date in response to identical inputs.
Disclaimer of professional advice: AI Outputs provided through the Platform do not constitute and must not be construed or relied upon as professional advice of any kind, including without limitation: legal advice, legal opinions, or legal analysis; medical, psychiatric, or psychological advice or diagnosis; financial, investment, tax, or accounting advice; career counselling by a qualified career counsellor; employment guidance by a certified placement officer; or any other form of regulated professional advice requiring a licence or qualification under applicable Indian law or the laws of any other jurisdiction. You should independently verify all AI Outputs with qualified professional advisors before relying on them for any consequential decision. Techsnap expressly disclaims all liability arising from your reliance on AI Outputs for any purpose.
Automated decision-making: Techsnap acknowledges that certain AI-generated outputs — including skill assessment scores, learning recommendations, and interview performance evaluations — may have a meaningful influence on your educational experience and career preparation. Techsnap does not use AI Features to make legally binding or similarly significant automated decisions about you without human review. Where you believe a significant decision affecting your educational or professional opportunities has been made solely on the basis of an automated process, you may request human review of such decision by contacting [email protected].
13. Subscriptions, Pricing, and Billing
Techsnap offers one or more subscription plans that provide access to premium features of the Platform beyond those available in the free tier. Current subscription plans, pricing, features, and billing cycles are described on the Platform's pricing page at https://techsnap.in/pricing, which is incorporated into this Agreement by reference. Techsnap reserves the right to modify, add, or discontinue subscription plans and to adjust pricing at any time, with advance notice provided to existing subscribers in accordance with Section 25 of these Terms and applicable law, including the Consumer Protection Act, 2019.
Subscription billing: subscription fees are billed in advance for the elected subscription period (monthly, quarterly, or annual, as selected by you). Unless you cancel your subscription before the end of the then-current billing period, your subscription will automatically renew at the start of the next billing period at the then-current subscription price. You authorise Techsnap to initiate payment for each renewal period through the payment method you provided at the time of purchase. It is your responsibility to maintain a valid, current payment method on file with Razorpay.
Subscription cancellation: you may cancel your subscription at any time by accessing your account settings on the Techsnap website at https://techsnap.in and following the cancellation process. Cancellation will take effect at the end of your then-current billing period, and you will retain access to premium features until that date. Cancellation does not entitle you to a refund of subscription fees already paid for the current billing period, except as expressly provided in our Refund Policy or as required by applicable law.
14. Payment Processing, Razorpay, and In-App Purchase Exclusion
All payment transactions associated with Techsnap subscription plans and paid features are processed exclusively through our website at https://techsnap.in, using Razorpay Software Private Limited ("Razorpay") as Techsnap's sole and exclusive payment processing partner. Razorpay is a licensed and regulated payment aggregator authorised by the Reserve Bank of India (RBI) under the Payment and Settlement Systems Act, 2007 and is compliant with the Payment Card Industry Data Security Standard (PCI-DSS Level 1).
Critically and unequivocally: the Techsnap Android application available on the Google Play Store does not use, integrate, or support Google Play Billing or any Google payment infrastructure, and no payment transaction of any kind is initiated, processed, or completed within the Android application. The Techsnap iOS application available on the Apple App Store does not use, integrate, or support Apple's In-App Purchase (IAP) system or any Apple payment infrastructure, and no payment transaction of any kind is initiated, processed, or completed within the iOS application. Techsnap's subscription model is entirely website-based and all subscription purchases must be made through the Techsnap website at https://techsnap.in. The mobile applications serve as interfaces to access the Services but do not themselves transact payments. This structure fully and explicitly complies with the "multiplatform service" and "reader app" exceptions applicable under both the Apple App Store Review Guidelines and the Google Play Developer Program Policies, under which apps that are available on multiple platforms and where content or subscriptions are purchased outside the app are not required to use the respective platform's billing system.
By making a payment through our website, you agree to Razorpay's Terms and Conditions and Privacy Policy. You acknowledge that Techsnap does not store, process, or have access to your complete payment card number, CVV, bank account credentials, net banking passwords, UPI PINs, or any other sensitive financial authentication data, as such data is entered directly into and processed by Razorpay's encrypted, PCI-DSS compliant payment interface. Techsnap retains only limited transaction metadata from Razorpay, as described in our Privacy Policy, for billing, tax compliance, and dispute resolution purposes.
15. Refund, Cancellation, and Consumer Protection
Techsnap's Refund Policy, accessible in full at https://techsnap.in/refund-policy, governs all requests for refunds, cancellations, and related consumer remedies. The Refund Policy is incorporated into this Agreement by reference. The following summary is provided for convenience and does not supersede the full Refund Policy.
General no-refund policy: all purchases made through the Techsnap website — including subscription plans, one-time access purchases, AI feature credits, and premium memberships — are generally final and non-refundable, as digital content and platform access are delivered immediately or substantially immediately upon payment. By completing a purchase, you acknowledge that you have reviewed the plan details and pricing, that digital content has been made available to you, and that you agree to these terms.
Exceptions under applicable law and contractual terms: notwithstanding the foregoing general policy, Techsnap will consider refund requests in the following exceptional circumstances, which align with the consumer protection obligations applicable to digital goods under the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020: (a) a duplicate payment has occurred due to a confirmed error by Razorpay's payment gateway, verified by both Razorpay's records and Techsnap's transaction logs; (b) a critical platform failure attributable solely to Techsnap has prevented you from accessing the purchased Service entirely for a continuous period exceeding seven (7) business days and cannot be remedied within a reasonable timeframe; (c) an unauthorised payment has been made on your account due to a breach of Techsnap's security systems, confirmed by appropriate investigation; or (d) a specific paid feature or service was never made available to you due to a technical error on Techsnap's Platform, and no equivalent alternative has been provided.
Statutory consumer rights: nothing in this Agreement or the Refund Policy shall be construed to limit, exclude, or waive any statutory rights you may have as a consumer under the Consumer Protection Act, 2019 or other applicable Indian law, including your right to seek redressal through the consumer dispute resolution mechanism established under that Act. If you believe your consumer rights have been violated, you may: (a) contact Techsnap's grievance officer at [email protected]; (b) file a complaint through the National Consumer Helpline or the Consumer Online Resource and Empowerment (CORE) Centre; or (c) approach the appropriate Consumer Disputes Redressal Forum or Consumer Disputes Redressal Commission established under the Consumer Protection Act, 2019.
Since all payments are made through our website and not through Apple IAP or Google Play Billing, there are no App Store or Play Store refund mechanisms applicable to Techsnap subscription purchases. All refund requests must be directed to Techsnap directly at [email protected] and will be processed in accordance with the full Refund Policy.

Educational institutions — including universities, colleges, engineering institutions, polytechnics, coaching centres, and corporate training partners — may partner with Techsnap to access institutional-tier Platform features, including bulk student onboarding, institution-level analytics dashboards, placement readiness tracking, proctored assessment administration, and academic performance reporting. Institutional access is governed by the terms of the Data Processing Agreement or Memorandum of Understanding executed between the institution and Techsnap, in addition to these Terms of Service.
By entering into an institutional partnership with Techsnap and by facilitating student access to the Platform through such partnership, the institution agrees to the following obligations: (a) the institution represents and warrants that it has the legal authority, institutional policy basis, and, where required by applicable data protection law including the DPDP Act, 2023, the necessary student consent or institutional authorisation to share student data with Techsnap for the purposes of delivering the agreed services; (b) the institution accepts responsibility for ensuring that students affiliated with the institution and accessing the Platform through the institutional partnership are informed of Techsnap's Privacy Policy and Terms of Service; (c) the institution must not share with Techsnap any student data that is not strictly necessary for the delivery of the agreed services and must not direct Techsnap to process student data for purposes not disclosed in the applicable Data Processing Agreement; (d) the institution must promptly notify Techsnap if it becomes aware of any data breach, security incident, or regulatory investigation that may affect the personal data shared with Techsnap; and (e) Techsnap may terminate institutional access without liability upon material breach by the institution of the applicable Data Processing Agreement or these Terms.
19. Account Suspension, Restriction, and Termination
Techsnap reserves the right to suspend, restrict, downgrade, or permanently terminate your account and access to the Platform, with or without prior notice and without liability to you, where Techsnap determines in its reasonable discretion that any of the following circumstances apply:
- you have violated any provision of these Terms, the Acceptable Use Policy, the Community Standards, or any other applicable Techsnap policy
- you have engaged in, facilitated, or attempted any fraudulent, deceptive, or manipulative conduct on or through the Platform, including manipulation of assessment scores, fraudulent subscription purchases, or impersonation of other users

- you have attempted to compromise the security, integrity, technical performance, or availability of the Platform or its infrastructure
- your account or payment method has been subject to confirmed fraudulent activity, including chargebacks initiated in bad faith
- we have received a legally valid direction from a court of competent jurisdiction, law enforcement authority, or regulatory body requiring us to suspend or terminate your account
- your continued use of the Platform poses a demonstrable risk to the safety, rights, or interests of other users, Techsnap, or third parties
Upon termination of your account, your right to access and use the Platform ceases immediately. User Content you have published may be removed from the Platform at Techsnap's discretion. Your personal data will be handled in accordance with Techsnap's Privacy Policy. Techsnap's decision on such an appeal shall be final and binding.

To the fullest extent permitted by applicable law, the Platform, the Services, all content made available through the Platform, and all AI Features and AI Outputs are provided on an "AS IS," "AS AVAILABLE," and "WITH ALL FAULTS" basis, without any representation, warranty, guarantee, or condition of any kind, whether express, implied, statutory, or arising from a course of dealing, usage, or trade practice. Techsnap Agentic AI Private Limited, on its own behalf and on behalf of its directors, officers, employees, agents, licensors, and service providers, expressly disclaims all representations and warranties, including without limitation:
- any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, or non-infringement
- any warranty that the Platform will be available, uninterrupted, timely, secure, accurate, complete, or free of errors, defects, viruses, or harmful components at all times
- any warranty regarding the accuracy, reliability, completeness, currentness, or fitness for any purpose of any content, including AI Outputs, course materials, assessments, placement opportunity listings, or other information made available through the Platform

- any warranty regarding the results that may be obtained from the use of the Platform, including employment outcomes, placement success, skill acquisition rates, certification value, academic achievement, or career advancement
Some jurisdictions do not permit the exclusion of implied warranties. To the extent such exclusions are not permitted under applicable law in your jurisdiction — including under the Consumer Protection Act, 2019 of India — the foregoing exclusions shall apply only to the maximum extent permitted by law. Techsnap's aggregate liability in such circumstances shall be as set out in Section 22.
22. Limitation of Liability and Indemnification
Limitation of Liability: to the maximum extent permitted by applicable Indian law, Techsnap Agentic AI Private Limited, its directors, officers, employees, agents, affiliates, licensors, and service providers shall not be liable to you or to any third party for any indirect, incidental, consequential, special, exemplary, or punitive damages of any kind, including without limitation: loss of profits or revenue; loss of data, business, goodwill, or opportunity; loss of savings; business interruption; or any other intangible loss, arising out of or in any way related to: (a) your access to or use of, or inability to access or use, the Platform or any Services; (b) any conduct, content, statement, or action of any third party on the Platform; (c) any unauthorised access to or use of our servers or infrastructure and any personal data stored therein; (d) any interruption, cessation, or suspension of transmission to or from the Platform; (e) any bugs, viruses, trojan horses, or other harmful code transmitted to or through the Platform by any third party; or (f) any errors or omissions in any content or AI Outputs accessible through the Platform, regardless of whether Techsnap has been advised of the possibility of such damages.
Aggregate liability cap: notwithstanding any other provision of these Terms, in no event shall Techsnap's total aggregate liability to you for all claims arising under or in connection with these Terms or the Platform exceed the greater of: (a) the total amount of fees actually paid by you to Techsnap in the twelve (12) calendar months immediately preceding the event giving rise to the claim; or (b) Indian Rupees Five Thousand (INR 5,000), whichever is greater.
Indemnification: you agree to defend, indemnify, and hold harmless Techsnap Agentic AI Private Limited, its directors, officers, shareholders, employees, contractors, agents, affiliates, licensors, and service providers from and against any and all third-party claims, actions, proceedings, demands, losses, costs, damages, penalties, fines, and expenses (including reasonable legal fees and court costs) arising out of or in connection with: (a) your use of or access to the Platform or the Services; (b) your violation of any provision of these Terms, the Acceptable Use Policy, the Community Standards, or any applicable law or regulation; (c) any User Content submitted by you, including any claim that your User Content infringes the Intellectual Property Rights, privacy rights, or other legal rights of a third party; (d) your interaction with other users, third parties, or institutions through or in connection with the Platform; or (e) any wilful misconduct, negligence, or fraud committed by you in connection with the Platform.
Nothing in this Agreement shall exclude or limit Techsnap's liability for death or personal injury caused by Techsnap's gross negligence, for fraud or wilful misconduct, or for any other liability that cannot be excluded or limited under applicable mandatory law, including under the Consumer Protection Act, 2019.
23. Governing Law, Jurisdiction, and Dispute Resolution
Governing law: these Terms and all matters arising out of or in connection with this Agreement shall be governed by and construed in accordance with the laws of the Republic of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, the Consumer Protection Act, 2019, and all other applicable Indian statutes and regulations, without regard to any conflict of law principles that would cause the application of the laws of any other jurisdiction.
Grievance redressal: in the first instance, any dispute, complaint, or claim arising out of or in connection with these Terms or the Services shall be addressed to Techsnap's designated Grievance Officer at [email protected]. Techsnap will acknowledge your grievance within seventy-two (72) hours of receipt and will make every reasonable effort to resolve it within thirty (30) days. This internal grievance mechanism is intended to facilitate prompt and amicable resolution of disputes without recourse to formal legal proceedings and is compliant with the grievance redressal requirements of the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020.
Arbitration: if the parties are unable to resolve a dispute through the internal grievance mechanism within sixty (60) days of the initiation of such mechanism, either party may elect to submit the dispute to binding arbitration. Such arbitration shall be conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996 of India, as amended from time to time. The seat and legal place of arbitration shall be Hyderabad, Telangana, India. The arbitral tribunal shall consist of a sole arbitrator, appointed by mutual agreement of the parties or, failing agreement, in accordance with the procedure prescribed under the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English. The arbitrator's award shall be final, binding, and enforceable in any court of competent jurisdiction. Each party shall bear its own costs of the arbitration, subject to the arbitrator's discretion to award costs to the prevailing party.
Exceptions to arbitration: notwithstanding the foregoing, either party may seek urgent interim or injunctive relief from the courts of competent jurisdiction at Hyderabad, Telangana, India, including without limitation to restrain a breach or threatened breach of these Terms, to protect confidential information or Intellectual Property Rights, or to prevent irreparable harm, without waiving its right to arbitrate the underlying dispute. You also retain the right to file a complaint with the appropriate Consumer Disputes Redressal Forum or Commission under the Consumer Protection Act, 2019, which cannot be excluded by this arbitration clause.
Time limitation: any claim, action, or proceeding arising out of or relating to the Platform or these Terms must be commenced within one (1) year from the date on which the cause of action accrued. Any claim not commenced within this period shall be permanently time-barred, to the fullest extent permitted by applicable law.
24. Consumer Rights and Statutory Protections
Techsnap respects and is committed to upholding the statutory rights of consumers under applicable Indian law. These Terms do not and shall not be construed to exclude, restrict, or modify any right or remedy available to you under the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, the Information Technology Act, 2000, or any other applicable consumer protection legislation. 25. Modifications to the Platform and to These Terms
Techsnap reserves the right, in its sole and absolute discretion, to modify, update, add to, remove from, suspend, or permanently discontinue any aspect of the Platform or the Services at any time, including any feature, content, pricing structure, subscription plan, AI Feature, or technical capability. We shall not be liable to you or any third party for any modification, suspension, limitation, or discontinuation of the Platform or any part of the Services, except as may be required by applicable law.
Modifications to these Terms: we may update or revise these Terms from time to time to reflect changes in our Services, applicable law, regulatory requirements, or our business practices. For changes that are non-material — such as typographical corrections, clarifications of existing terms, or reorganisation of provisions — we may update these Terms without individual advance notice, and the updated "Last Updated" date shall serve as notice. Your continued use of the Platform following the effective date of any revised Terms constitutes your binding acceptance of such revisions. If you object to any revised Terms, you must immediately cease using the Platform and may delete your account in accordance with our Privacy Policy.
26. Entire Agreement, Severability, and Miscellaneous Provisions
These Terms, together with the Privacy Policy, the Refund Policy, and any Data Processing Agreement or institutional partnership agreement applicable to you, constitute the entire legal agreement between you and Techsnap with respect to your use of the Platform and the Services, and supersede all prior and contemporaneous understandings, negotiations, representations, warranties, and agreements — whether written or oral — between the parties relating to the subject matter hereof.
Severability: if any provision of these Terms is held by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, unenforceable, or contrary to applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions of these Terms shall continue in full force and effect and shall not be affected by the invalidity of the severed provision.
No waiver: Techsnap's failure to enforce any right or provision of these Terms on any occasion shall not constitute a waiver of such right or provision and shall not preclude Techsnap from enforcing such right or provision on any future occasion.
Assignment: Techsnap may assign or transfer its rights and obligations under this Agreement, in whole or in part, to any affiliate, successor, or acquirer, including in connection with a merger, acquisition, restructuring, or sale of assets, without your prior consent. You may not assign or transfer your rights or obligations under this Agreement without Techsnap's prior written consent.
Force Majeure: Techsnap shall not be liable for any failure or delay in the performance of its obligations under this Agreement to the extent that such failure or delay is caused by a Force Majeure Event, including acts of God, natural disasters, pandemic or epidemic, governmental actions or directives, power failures, internet infrastructure failures, or cyberattacks beyond Techsnap's reasonable control.
Language: these Terms are drafted in the English language. In the event of any conflict between an English version of these Terms and any translation, the English version shall prevail.
Headings: the section headings in these Terms are for convenience and reference only and shall not affect the construction or interpretation of any provision of these Terms.
Electronic Agreement: you acknowledge that this Agreement is formed electronically and that your acceptance by clicking, registering, or using the Platform constitutes a valid and legally binding signature for all purposes under applicable law, including the Information Technology Act, 2000.
